BYLAWS OF OREGON – WASHINGTON – IDAHO CHAPTER OF THE DOANE FAMILY ASSOCIATION OF AMERICA, INC.

ARTICLE I – NAME
This Chapter shall be known as the OREGON – WASHINGTON – IDAHO CHAPTER OF THE DOANE FAMILY ASSOCIATION OF AMERICA, INC.

ARTICLE II – OFFICES
The principal office for the transaction of business of the Chapter shall be the residence of the President, subject to change with the election of a new President.

ARTICLE III – ADMINISTRATION
The following officers shall be elected for a term of two (2) years by a majority vote of the members present at a Chapter Reunion.

  • President
  • Vice-President
  • Secretary
  • Treasurer
  • Historian
  • Chaplain

All officers shall be paid members of the Oregon-Washington-Idaho Chapter of the Doane Family Association of America, Inc.

No officer shall serve, in the same office, for consecutive terms, either full or partial, aggregating more than sixteen (16) years, with the exception of the Historian and Chaplain.

An officer, other than the Historian and the Chaplain, having served a total of 16 years, shall be ineligible for re-election to the same office for a period of at least one year.

Each officer shall hold office until a successor shall have been duly elected.

ARTICLE IV – OBJECT
The object of the Chapter shall be:

      1 . To awaken an interest in the history and genealogy of families surnamed DOANE, including all variation in the orthography of the name DOANE, and those families related thereto.
      2 . To afford an opportunity for the presentation of papers and genealogical materials that may interest its members and encourage further research.
      3 . To record whatever may be honorable in the lives of past or present generations.
      4 . To extend the advantages of a friendly exchange of ideas among the families representing the name DOANE, and the variations in the spelling thereof.
      5 . To work with The Doane Family Association of America, Inc. in promoting the work and aims of the Association’s programs.
      6 . To perpetuate the story of the ancestors of the Doane Family and their contribution to the history of the United States of America, Canada, England and other parts of our World.

ARTICLE V – MEMBERSHIP
Persons of the Doane Family bearing the name Doane, Doan, Done or variants in the spelling thereof, the descendants of a Doane Family or the spouse of a person of the Doane Family is eligible for membership, as well as all others interested in promoting the objectives of the Association.

ARTICLE VI – DUES
The Chapter’s dues shall be established at the Chapter Reunion Meeting by a majority vote of the members present.

ARTICLE VII – MEETINGS

      1 . Reunion Meetings of the Members: A meeting of the members, for the purpose of transacting business of the Chapter, shall take place during the Chapter reunion. Such Chapter reunions will be held annually or biannually, as directed by the member or the Chapter Board of Management. The Chapter Reunion Meetings shall not conflict with the Reunion Meetings of the Doane Family Association of America, Inc.
      1 . Place of the Chapter Reunion: The Chapter Reunion shall be held at the time and location decided by a majority vote of the members present at the previous Chapter Reunion Meeting. The Board of Management shall have the authority to change the time and location of the Reunion when conflicts in scheduling occur.
      1 . Other Meetings: Other meetings may be held, at various times and locations, at the direction of the Chapter President or the Board of Management.
      1 . Quorum: The members present at the Chapter Reunion Meeting shall constitute a quorum.
      Three members of the Board of Management shall constitute a quorum for a Board of Management Meeting.
      1 . Notification of meetings: Every member shall be mailed or e-mailed, at their last known address, a notification at least 14-days in advance of the time and place of the Chapter Reunion.
      1. Order of Business:
      A. Invocation by the Chaplain
      B. Minutes of the Previous Chapter Meeting
      C. Treasurer’s Report
      D. President’s Report
      E. Historian’s Report
      F. Nominating Committee Report
      G. Nominations From the Floor
      H. Elections of Officers
      I. Reports From Committees
      J. Unfinished Business
      K. New Business
      L. Presentation of Papers, etc.
      M. Committee Appointments
      N. Selection of Place of Next Reunion
      O. Adjournment
      P. Benediction by Chaplain
      1 . Voting: Questions brought before the meeting shall be decided by a majority vote of the members present.
      1 . Parliamentary guidance: The most current edition of Robert’s Rules of Order Newly Revised shall be used for parliamentary guidance.

    ARTICLE VIII – ELECTIONS
    Elections for new officers shall be held at the Chapter’s Reunion, for all expiring terms of office. All terms expire in two years, except those of the Chaplain and the Historian, which shall be for an indeterminate term.

    The elected officers shall be:

    • President
    • Vice President
    • Secretary
    • Treasurer

    The elected officers with indefinite terms:

    • Chapter Historian
    • Chapter Chaplain

    ARTICLE IX – BOARD OF MANAGEMENT
    The Board of Management shall consist of the following elected officers:
    0 . President
    1 . Vice-President
    2 . Secretary
    3 . Treasurer
    4 . Historian
    5 . Chaplain
    6 . Immediate Past President

    Vacancies on the Board of Management, occurring between reunion meetings, may be filled by the then existing Board of Management members.

    ARTICLE X – DUTIES OF OFFICERS
    1 . President:
    A . Shall preside over Chapter Reunions.
    B . Shall appoint all standing committees and duties of such, as well as such other committees as may be needed.
    C . Shall instruct other officers in the performance of their duties.
    D . Shall call special meetings of the Board of Management when necessary.
    E . Shall have a Presidents Message included in the newsletter announcing the next reunion.
    F . Shall be an ex-officio member of all committees.

    1 . Vice-President:
    . Shall, in the absence or disability of the President, exercise all powers vested in the Presidency.
    A . Shall assist officers in the performance of their duties.
    B . Shall be an advisor to the Chairperson of any appointed committee.
    C . Shall present any guests at Reunions to the head table.
    D . Shall be chairperson of the committee to select the location of the next reunion meeting, as directed by the members.

    1 . Secretary:
    A . Shall keep a record of all meetings of the Chapter, including Reunion meetings and meetings of the Board of Management.
    B . Shall notify the Chapter membership of the time and place of Chapter Reunions.
    C . Shall have charge of the original copy of the Chapter Charter.
    D . Shall have charge of the original copy of the Chapter Bylaws.
    E . Shall keep a record of the members of the Chapter.
    F . Shall maintain a signature book of members present at Reunions, Board of Management meetings and any other meetings as called on behalf of the Chapter.
    G . Shall read and reply to correspondence received by Chapter, as indicated by President.
    H . Shall annually file with the Secretary of The Doane Family Association of America, Inc. of all Chapter Officers, Members and the address of the Chapter Headquarters.
    I . Shall inform the Secretary of The Doane Family Association of America, Inc. of Chapter Reunion Meetings.
    J . Shall send out literature and an application for membership to prospective members.

    1 . Treasurer:
    . Shall receive, record, hold and disburse all monies belonging to the Chapter.
    A . Shall keep an account of all financial transactions of the Chapter.
    B . Shall give a report of the financial status of the Chapter at the reunion meetings.
    C . Shall, at the reunion meetings, have a printed financial report for each member of the Board of Management.
    D . Shall present bills to membership and pay same, if membership elects to do so.
    E . Shall collect Chapter dues from the membership.
    F . Shall encourage all Chapter members to become members of The Doane Family Association of America, Inc.

    1 . Historian:
    A . Shall collect and have charge of any and all pictures, new items and articles about the Chapter members. This information will be collected and posted in a book or binder and have on display at the Chapter Reunions.
    B . Shall receive names of deceased members and report such names to the Memorial Committee Chairperson of The Doane Family Association of America, Inc.
    C . The Historian shall not be required to do personal research for members.

    1 . Chaplain
    A . Shall have charge of and conduct devotional activities, as necessary, of the Chapter.
    B . Shall be available at the Chapter business meetings and at all Chapter Reunion Meetings to give the invocation and benediction.

    ARTICLE XI – BOARD OF MANAGEMENT
    The Board of Management shall:
    0 . Have the general management of the affairs of the Chapter.
    1 . Authorize Expenditures.
    2 . Approve or disapprove all budget requests submitted by the Committees of the Chapter.

    ARTICLE XII – STANDING COMMITTEES
    1 . Nominating Committee:
    A . Shall select and place in nomination at the Chapter Reunion Meeting a slate of Officers for the ensuing term of office.

    1 . Reunion Committee:
    A . Shall make all arrangements for the Chapter Reunions.
    B . Shall obtain approval of the Board of Management for all financial arraignments.
    C . The Chairperson shall be the Vice-President of the Chapter.

    ARTICLE XIII – CORPORATE ACTION
    0 . Checks & Drafts:
    All checks, drafts or orders for the payment of money issued in the name of the Chapter shall be signed by signed by any two (2) of the following Officers:

    1. Treasurer
    2. President
    3. Vice-President
    4. Secretary

    1 . Deposits: All funds of the Chapter shall be deposited from time to time to the credit of the Chapter in such banks, credit unions or other depositaries as the Board of Management shall approve and select.

    1 . Gifts: The Board of Management may accept, on behalf of the Chapter, any contribution, gift, bequest or devise for the general purposes or for any special purpose of the Association.

    ARTICLE XIV – AMENDMENTS

    The Bylaws of the Chapter may be altered, amended or repealed and new Bylaws adopted by a majority vote of the membership present at a Chapter Reunion Meeting, provided prior notice has been given in writing to all members at least 14 days prior to the meeting date.
